Terms of Service

Last Updated: September 25, 2026

These Terms of Service govern the engagement between Arafat Bin Mizan ("I", "me", or "my") and any individual or business ("Client", "you", or "your") engaging my services.

By engaging my services, you agree to these Terms of Service.

1. Services

I provide professional services across operations, growth, marketing, systems, strategy, and creative execution.

Services may include, but are not limited to:

  • Operations and process design

  • Growth strategy and execution

  • Marketing strategy and execution

  • Client acquisition and lead generation

  • Outbound acquisition systems

  • Marketing operations

  • Workflow and process automation

  • Project and team management

  • Performance and delivery systems

  • Brand and creative direction

  • Content and campaign strategy

  • Design and visual communication

  • Consulting and advisory services

  • Other services agreed upon in writing

The exact services, deliverables, timelines, and fees for each engagement will be agreed upon before work begins.

2. Engagement and Scope

Each engagement will have an agreed scope of work.

The scope may be documented through a proposal, quotation, statement of work, invoice, email, written agreement, or other written communication between us.

Work outside the agreed scope may require an additional fee or an adjustment to the project timeline.

If the requirements of a project change substantially after work has started, I may provide an updated scope, fee, or timeline before proceeding with the additional work.

3. Fees and Payment

Fees will be agreed upon before work begins.

Depending on the engagement, payment may be structured as:

  • Full payment in advance

  • A deposit followed by milestone payments

  • Monthly or recurring payments

  • Payment upon completion

  • Another payment structure agreed upon in writing

Unless otherwise agreed, invoices are due by the date stated on the invoice.

Work may be paused if an invoice remains unpaid.

Any third-party costs, software subscriptions, advertising spend, production expenses, licensing fees, or other external costs required for a project are the Client's responsibility unless otherwise agreed in writing.

4. Project Timelines

Project timelines will be agreed upon based on the scope of work and information available when the project begins.

Timelines may change if:

  • Required information or materials are delayed

  • Client feedback or approvals are delayed

  • The scope of work changes

  • Additional work is requested

  • Required third-party services become unavailable

  • Circumstances outside my reasonable control affect delivery

I will make reasonable efforts to communicate any significant changes to the expected timeline.

5. Client Responsibilities

The Client is responsible for providing the information, materials, access, approvals, and feedback reasonably required to complete the work.

This may include:

  • Brand assets and guidelines

  • Copy and content

  • Images, videos, and other media

  • Account or platform access

  • Business and product information

  • Project requirements

  • Timely feedback and approvals

The Client is responsible for ensuring that materials supplied to me can legally be used for the project.

Delays caused by missing materials, access, feedback, or approvals may affect the project timeline.

6. Revisions and Changes

The number of revisions included in a project will depend on the agreed scope.

Revisions should remain reasonably connected to the original brief or agreed direction.

A significant change in direction, new requirement, or request for work outside the agreed scope may be treated as additional work.

Additional work will be discussed with the Client before substantial work begins.

7. Intellectual Property

Unless otherwise agreed in writing, ownership of final deliverables created specifically for the Client will transfer to the Client once all applicable fees have been paid in full.

Until full payment is received, all rights to unpaid work remain with me.

Working files, editable source files, drafts, unused concepts, internal processes, templates, systems, frameworks, and other materials used to produce the final deliverables are not automatically included unless specifically agreed upon.

Any pre-existing tools, templates, frameworks, systems, processes, or intellectual property that I bring into a project remain my property.

Where third-party assets, fonts, software, stock materials, plugins, or other licensed resources are used, their ownership and licensing remain subject to the applicable third-party terms.

8. Portfolio and Publicity

Unless the Client requests otherwise in writing, I may display completed work in my portfolio, website, social media, presentations, and other professional materials for the purpose of demonstrating my work.

Confidential, unreleased, or sensitive information will not knowingly be publicly disclosed where the Client has specifically requested confidentiality.

9. Confidentiality

I will treat confidential business, financial, operational, customer, marketing, and other non-public information shared during an engagement as confidential.

Confidential information will not knowingly be disclosed to third parties except where:

  • The Client has given permission

  • Disclosure is reasonably necessary to perform the agreed services

  • Disclosure is required by law

This obligation continues after the engagement ends.

10. Third-Party Services

Some projects may involve third-party platforms, software, contractors, suppliers, advertising platforms, hosting providers, or other external services.

I am not responsible for interruptions, pricing changes, technical failures, policy changes, account restrictions, service outages, or other issues caused by third-party services.

Where a third-party service is required for the project, the Client remains responsible for applicable subscription, advertising, licensing, or usage fees unless otherwise agreed.

11. Results and Performance

I will perform the agreed services professionally and make reasonable efforts to achieve the objectives discussed with the Client.

However, marketing, growth, advertising, sales, and business outcomes depend on many factors outside my control.

I do not guarantee specific revenue, sales, leads, conversion rates, audience growth, rankings, or other business results unless a specific guarantee has been expressly agreed upon in writing.

12. Cancellation and Termination

Either party may request to end an engagement.

If the Client terminates a project after work has begun, the Client remains responsible for payment for work completed up to the termination date and for any non-refundable costs already incurred.

Deposits or advance payments may be non-refundable once work has begun, unless otherwise agreed in writing.

If I terminate an engagement, I will provide reasonable notice where practical and deliver completed work that has been paid for.

Any outstanding amounts owed for completed work remain payable following termination.

13. Limitation of Liability

To the extent permitted by applicable law, my total liability arising from an engagement will not exceed the total amount actually paid to me by the Client for the specific services giving rise to the claim.

I will not be responsible for indirect, incidental, consequential, special, or loss-of-profit damages arising from an engagement.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

14. Dispute Resolution

If a disagreement arises, both parties agree to first attempt to resolve the matter through good-faith communication.

If the matter cannot be resolved informally, either party may pursue remedies available under applicable law.

15. Changes to These Terms

I may update these Terms of Service from time to time.

The version applicable to an engagement will generally be the version agreed upon when that engagement begins, unless both parties agree otherwise.

Any project-specific agreement or written terms agreed between us will take precedence over these general Terms of Service where there is a conflict.
